This Pricing & Eligibility Policy forms part of, and is incorporated by reference into, the coherence Software License Agreement (the “Agreement”) between you (“You”) and coherence ApS (“coherence”).
Capitalized terms not defined in this Policy have the meanings given in the Agreement.
This Policy sets out the pricing tiers, eligibility criteria, and related financial thresholds that govern Your use of the coherence Software.
Your use of the Licensed Products is subject to Your continued compliance with the applicable Tier Eligibility requirements defined below.
DEFINITIONS.
a) "coherence Starter” means the coherence subscription plan ‘Starter’ available to individuals and legal entities who are Tier Eligible to use coherence Starter.
b) "coherence Pro” means the coherence subscription plan ‘Pro’ available to individuals and legal entities who are Tier Eligible to use coherence Pro.
c) "coherence Runtime” means the runtime portion of the coherence SDK embedded by Unity into your Game intended for distribution.
d) "coherence SDK" means the source code, object code, tools, artwork and other content made available through the coherence Unity SDK package, and any updates, modifications, or enhancements to the coherence SDK that we may make available to you under the Agreement, but excluding the “coherence Runtime.
e) "Tier Eligible” means that your Total Finances cannot exceed the defined Financial Thresholds for the tier of coherence Software you (or those providing services to you) are using.
f) "Total Finances” means, if you are (a) a legal entity using the coherence Software your aggregate gross revenues and funding, (b) a governmental entity, non-profit, educational or academic institution using the coherence Software your budget for the entire entity or institution, or (c) an individual using the coherence Software, then your Total Finances are the amount generated in connection with your use of the coherenceSoftware.
COHERENCE SOFTWARE TIER ELIGIBILITY.
The Tier Eligibility Requirements set forth below apply to your use of the coherence SDK.
2.1. Tier Eligibility
a) You and your Authorized Users, if applicable, must be Tier Eligible at all times to use the coherence SDK. Tier Eligibility is measured each date you use the coherence SDK for the most recent twelve (12) trailing month period. Immediately upon your Total Finances exceeding the Financial Threshold of the coherence SDK tier you are using, you must upgrade your subscription Plan.
b) You may not (i) use the coherence SDK tiers within different Financial Thresholds at the same time, (ii) have different Authorized Users or members of your coherence Organization use the coherence SDK tiers within different Financial Thresholds at the same time, and/or (iii) combine or integrate any of your Projects developed with one tier of the coherence SDK with any of your Projects developed simultaneously with another tier.
2.2. Financial Thresholds
a) The Financial Threshold for coherence Starter is $200,000 USD for the most recent twelve (12) month period. To be Tier Eligible to use coherence Starter, your Total Finances may not exceed $200,000 USD for the most recent twelve (12) month period. If your Total Finances exceed $200,000 USD for the most recent twelve (12) month period, you may not use coherence Starter at all, even for internal projects or prototyping.
b) The Financial Threshold for coherence Pro is from $200,001 USD and above for the most recent twelve (12) month period. If your Total Finances equal or exceed $200,000 USD for the most recent twelve (12) month period, you may only use coherence Pro.
c) For clarity, unless otherwise set forth above, these Financial Thresholds apply whether or not you use the coherence SDK as part of a coherence Plan.
d) By using the coherence SDK, you represent and warrant that you are Tier Eligible to use the tier of coherence SDK you are using and those being used on your behalf. You understand that it is your responsibility to maintain complete records establishing your Tier Eligibility and you bear the burden of proving your Tier Eligibility if we ask.
UPDATES TO PRICING AND FINANCIAL THRESHOLDS.
coherence may modify the pricing tiers, Financial Thresholds, or Tier Eligibility Requirements described in this Policy. Any such changes will be effective 30 calendar days after notice (email notice is sufficient). Your continued use of any of the Licensed Products after that period constitutes Your acceptance of the revised Policy.
CONFLICTS.
If there is any inconsistency between this Policy and the Agreement, the Agreement will control except where this Policy specifically governs tier eligibility or pricing.
